When we say "Company", "we", "our", or "us" in this document, we are referring to AICU GmbH, a company registered in Germany at c/o Campus Founders, Bildungscampus 11, D-74076 Heilbronn, with registration number HRB 794842 at the District Court Stuttgart (Amtsgericht Stuttgart). When we say "Services", we mean our websites, including aicuflow.com, and any product created and maintained by AICU GmbH. This includes the AICU Platform and all associated tools, features, and services, whether delivered within a web browser, desktop application, mobile application, or another format.
When we say "You" or "your", we are referring to the people or organizations that own an account with one or more of our Services.
We may update these Terms of Service ("Terms") in the future. Whenever we make a significant change to our policies, we will refresh the date at the top of this page and take any other appropriate steps to notify account holders.
When you use our Services, now or in the future, you are agreeing to the latest Terms. There may be times where we do not exercise or enforce a right or provision of the Terms; however, that does not mean we are waiving that right or provision. These Terms do contain a limitation of our liability.
If you violate any of the Terms, we may terminate your account. That's a broad statement and it means you need to place a lot of trust in us. We do our best to deserve that trust by being transparent about who we are and keeping an open door to your feedback at contact@aicuflow.com an open door.
In our Privacy Policy, we explain how we collect and process personal data. Although it is not part of these Terms, it is an important document that you should read.
Minimum Age. You must be at least 13 years old or have reached the minimum age required in your country to use the Services. If you are under 18 years old, you must have the consent of your parent or legal guardian to use the Services, and ask them to read these Terms together with you.
Registration. You must provide accurate and complete information to register for an account to use our Services ("Account Information"), and you agree to update the Account Information in order to ensure that it is current. You may not share your account credentials or make your account available to another person, and you are responsible for all activities that occur under your account. If you are creating an account or using the Services on behalf of another natural or legal person, you must be authorized to accept these Terms on their behalf.
Your Content. You may provide inputs to our AI Services ("Inputs") and receive outputs generated based on those inputs ("Outputs"). Inputs and Outputs are collectively referred to as "Content."
Ownership of Content. As between you and AICU GmbH, and to the extent permitted by applicable law: (a) you retain ownership rights to your Inputs, and (b) you own the rights to the Outputs. We hereby assign to you all our rights, title, and interest, if any, in and to the Outputs.
Similarity of Outputs. Due to the nature of AI and machine learning, Outputs may not be unique, and other users may receive similar Outputs from our Services. Our assignment does not extend to Outputs received by other users.
Limitations on Output Ownership. You acknowledge and agree that: (a) the legal status and intellectual property rights in AI-generated Outputs are uncertain and evolving under applicable laws; (b) Outputs may be similar or identical to content generated for other users or content that exists elsewhere; (c) we make no representation or warranty that Outputs are copyrightable, unique, free from third-party rights, or suitable for any particular use; (d) the underlying AI models, training data, or systems may be subject to third-party rights or licenses that limit our ability to grant you exclusive rights; and (e) you are solely responsible for determining whether and how you may use any Outputs, including obtaining any necessary rights, permissions, or clearances from third parties.
No Training on Your Data. AICU GmbH does not use your Inputs, Outputs, or any other Content to train AI models. When you use AICU-provided LLMs, none of your inputs will be used to train any AI models. We have strict contractual agreements with all AI providers ensuring that your data is never used for model training. You may also bring your own LLM API keys and manage the relationship with LLM hosting providers yourself, giving you full control over how your data is processed.
AI Output Accuracy and Limitations. Artificial intelligence and machine learning are rapidly evolving fields. Due to the probabilistic nature of machine learning, our Services may in some situations produce Outputs that do not accurately reflect real people, places, or facts. When using our Services, you acknowledge and agree that:
Prohibited Uses of AI Services. You may not:
Your Posts. The Services may include functionality that permits users to post content, images, audio files, text, logos, sample code or other materials or works in a manner that is intended to be viewed by other users ("Your Posts"), including for reviews and in forums. By submitting Your Posts to the Services, you hereby grant to AICU GmbH a perpetual, irrevocable, royalty-free, worldwide, non-exclusive right and license, including the right to grant sublicenses to third parties, to use, reproduce, publicly display, publicly perform, prepare derivative works from and distribute Your Posts for any purpose. AICU GmbH may exercise all copyright, publicity and moral rights, in any media, with respect to Your Posts. In addition, you hereby irrevocably represent and warrant to AICU GmbH that:
Suggestions and Feedback. You hereby grant to AICU GmbH a royalty-free, worldwide, transferable, sublicenseable, irrevocable, perpetual license to use or incorporate into the Services and/or other AICU GmbH offerings any suggestions, enhancement requests, recommendations or other feedback provided by you to AICU GmbH that is related to the Services.
Aggregated and/or Anonymized Data. Notwithstanding anything to the contrary set forth herein or otherwise, AICU GmbH will have the right to collect and analyze data and other information relating to the provision, use or performance of the Services and related systems and technologies (including information concerning your Content and data derived therefrom), and to aggregate and/or anonymize all such data and information. AICU GmbH will be free at any time to: (i) use such information and data to improve and enhance AICU GmbH's offerings; and (ii) disclose such data in aggregate or other de-identified form in connection with its business.
Custom Code and Workflows. The Services may allow you to create custom code, scripts, workflows, and integrations ("Custom Code"). When you share flows, workflows, or integrations containing Custom Code with other users, you represent and warrant that: (i) you have all necessary rights to share such Custom Code; (ii) your Custom Code does not and will not contain any malicious, harmful, or illegal functionality including but not limited to viruses, malware, ransomware, or code designed to damage, interfere with, or gain unauthorized access to any system, data, or network; (iii) your Custom Code complies with all applicable laws and regulations; and (iv) your Custom Code does not infringe upon any third party's intellectual property rights. You are solely responsible for any Custom Code you create, share, or execute through the Services. AICU GmbH reserves the right to review, modify, disable, or remove any Custom Code that violates these Terms or poses a security risk. You acknowledge that Custom Code shared by other users may not have been reviewed or approved by AICU GmbH, and you use such Custom Code at your own risk.
Prohibited Sensitive Data. You must not input, upload, or process any of the following types of sensitive data through our Services: (i) protected health information subject to HIPAA or similar health data protection laws; (ii) financial account numbers, credit card numbers, or banking credentials; (iii) government-issued identification numbers (e.g., Social Security numbers, passport numbers, driver's license numbers); (iv) authentication credentials or passwords belonging to others; (v) personal data of children under 16 years of age without proper parental consent; or (vi) any data subject to specific regulatory requirements that our Services are not designed to meet. You are solely responsible for ensuring compliance with all data protection laws applicable to the data you process through our Services. AICU GmbH is not liable for any violation of data protection laws resulting from your use of the Services with prohibited or regulated data types.
Credits, Payments, and Invoices. You may purchase Credits through Stripe or another third-party payment processor that we designate from time to time. By purchasing Credits, you agree to be bound by the applicable terms and conditions of the payment processor in addition to these Terms. You may also enable auto-reload so that your balance is automatically replenished when it falls below a threshold you select. We issue monthly invoices that show: (a) your Platform subscription charges (if any), (b) credit purchases and balance changes, and (c) your usage by Service (e.g., AICU Platform, AI Gateway, or other services we may offer). Invoices are generated based on the records of our designated third-party payment processor (such as Stripe). We rely solely on the records, calculations, and determinations of that payment processor with respect to payments, metering, invoicing, and account balances, and you agree that those determinations are final and binding absent manifest error.
Your Rights. You may terminate your use of our Services and your relationship with AICU GmbH at any time by simply closing your account and stopping use of the Services. You can cancel your account through your account settings or by contacting our support team at contact@aicuflow.com cancel.
Data Deletion. All of your content will be inaccessible from the Services immediately upon account cancellation. Within 30 days, all content will be permanently deleted from active systems and logs. Within 60 days, all content will be permanently deleted from our backups. We cannot recover this information once it has been permanently deleted. If you want to export any data before your account is canceled, you can use the export features available in your account settings or contact our support team at contact@aicuflow.com contact.
Our Rights to Suspend or Terminate. We may, at our reasonable and objective discretion, take measures to restrict, suspend, or terminate your access to our Services, or close your account if:
Notification. If we terminate your account, we will make reasonable efforts to notify you in advance so you can export your Content or data from the Services. This does not apply if such notification would involve unreasonable effort for us, if we have reasonable grounds to believe that continued access to your account would harm AICU GmbH or other persons, or if such notification is prohibited by law.
Appeals. If you believe we have incorrectly suspended or terminated your account, you may appeal by contacting our support at contact@aicuflow.com contact.
Abuse of Personnel. Verbal, physical, written, or other abuse (including threats of abuse or retribution) of a Company employee or officer will result in immediate account termination.
All content posted on the Services must comply with German and EU copyright law (Urheberrecht). AICU GmbH respects the intellectual property rights of others and expects users of the Services to do the same.
Your Content License. You give us a limited license to use the content posted by you and your users in order to provide the Services to you, but we claim no ownership rights over those materials. All materials you submit to the Services remain yours.
Content Moderation. We do not pre-screen content, but we reserve the right (but not the obligation) in our sole discretion to refuse or remove any content that is available via the Service.
Ownership of Services. The Company or its licensors own all right, title, and interest in and to the Services, including all intellectual property rights therein, and you obtain no ownership rights in the Services as a result of your use. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from the Company. You must request permission to use the Company's logos or any Service logos for promotional purposes. Please email contact@aicuflow.com to request to use logos. We reserve the right to rescind any permissions if you violate these Terms.
Restrictions. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without the express written permission of the Company.
Filing a Copyright Complaint (DMCA). If you believe that content available through our Services infringes your copyright, please send a notice to our designated copyright agent at contact@aicuflow.com with the subject line "Copyright Complaint". Your notice must include:
Counter-Notification. If you believe that your content was removed or disabled by mistake or misidentification, you may file a counter-notification with us at the same email address. Your counter-notification must include substantially the same information as listed above for copyright complaints, along with a statement that you consent to the jurisdiction of the appropriate court and that you will accept service of process from the person who provided the original complaint.
We design our Services with care, based on our own experience and the experiences of customers who share their time and feedback. However, there is no such thing as a service that pleases everybody. We make no guarantees that our Services will meet your specific requirements or expectations.
We also test all of our features extensively before shipping them. As with any software, our Services inevitably have some bugs. We track the bugs reported to us and work through priority ones, especially any related to security or privacy. Not all reported bugs will get fixed and we don't guarantee completely error-free Services.
We may offer Application Program Interfaces ("APIs") for our Services. Any use of the API, including through a third-party product that accesses the Services, is bound by these Terms plus the following specific terms:
We are not liable or accountable for any third-party integrations with our Services.
Provision of Services. We commit to providing you with the Services with reasonable skill and care and to act with professional diligence. We do not promise to provide the Services indefinitely or in their current form for any specific period of time.
Your Statutory Rights. As a consumer, you have certain statutory rights that cannot be limited or excluded by contract (such as these Terms). These Terms are not intended to affect or limit these rights in any way. You remain fully protected by applicable law.
Warranty Disclaimer.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM AICU GMBH OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
WITHOUT LIMITING THE FOREGOING, AICU GMBH, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICES WILL MEET YOUR REQUIREMENTS; THAT THE SERVICES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD OR YOUR USE OF THE SERVICES.
FURTHER, AICU GMBH DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICES OR ANY HYPERLINKED WEBSITE OR SERVICE, AND AICU GMBH WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.
Limitation of Liability. Provided we have acted with professional diligence, we are not liable for losses or damages caused by us, unless:

Additional Limitations for Business Users. If you are using our Services for commercial or business purposes, the following additional limitations apply:
NEITHER WE NOR OUR AFFILIATES OR LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, GOODWILL, USE, DATA, OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE DAMAGE FOR THE SERVICE THAT TRIGGERED THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).
Indemnification for Business Users. If you are a business or organization, you agree to indemnify and hold harmless us, our affiliates, and our personnel, to the extent permitted by law, from all costs, losses, liabilities, and expenses (including legal fees) arising from third-party claims relating to or arising from your use of the Services and Content or a breach of these Terms.
Jurisdictional Limitations. Federal law, some states, provinces and other jurisdictions do not allow the exclusion and limitations of certain implied warranties or damages, so the above exclusions may not apply to you. These Terms give you specific legal rights, and you may also have other rights which vary by jurisdiction. The disclaimers and exclusions under these Terms will not apply to the extent prohibited by applicable law. In such cases, these Terms limit our liability only to the extent permitted in the country where you reside.
Important Note for EU and EEA Consumers: If you are a consumer residing in the European Economic Area (EEA) or Switzerland, the above warranty disclaimers and liability limitations do not affect your statutory consumer rights under EU and German consumer protection laws. Your statutory warranty rights under applicable consumer protection legislation remain fully intact and cannot be limited by these Terms.
In other words: choosing to use our Services does mean you are placing trust in us. We do our best to earn that trust through careful management of the business, investments in security, infrastructure, and talent, and maintaining high standards of service. Concerns. In the event of disputes, we want to first try to understand and address your concerns before formal legal action is taken. You can communicate your concerns to us at contact@aicuflow.com communicate.
Courts. If we are unable to resolve our disputes, you or we may call upon the competent courts in your jurisdiction. As a German company, disputes may also be brought before the competent courts in Heilbronn, Germany, where AICU GmbH is registered.
Alternative Dispute Resolution for EU Consumers. If you reside in the European Economic Area (EEA) or Switzerland, you may also submit disputes to an alternative dispute resolution body via the Online Dispute Resolution (ODR) platform provided by the European Commission. Please note: We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but we are committed to finding fair solutions with our customers.
You agree to indemnify, defend, and hold harmless AICU GmbH, its affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) that such Indemnified Parties may incur as a result of or arising from: (a) your use or misuse of the Services; (b) your violation of these Terms; (c) your violation of any rights of any third party, including intellectual property rights, privacy rights, or publicity rights; (d) any Content you submit, post, transmit, or make available through the Services; (e) any Custom Code you create, share, or execute through the Services; (f) any data you input, upload, or process through the Services; (g) your breach of any representations or warranties you have made in these Terms; or (h) any act or omission by you that is negligent, willfully misconduct, or illegal.
This indemnification obligation will survive the termination of your account or these Terms. AICU GmbH reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with AICU GmbH's defense of such claims.
Note for EU Consumers: This indemnification clause does not apply to the extent that any claims, liabilities, or damages arise from our breach of these Terms, our negligence, or our violation of applicable consumer protection laws.
In accordance with applicable copyright laws and our commitment to protecting intellectual property rights, AICU GmbH has adopted a policy of terminating, in appropriate circumstances, accounts of users who are deemed to be repeat infringers. AICU GmbH may also, at its sole discretion, limit access to the Services and/or terminate the accounts of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.
A "repeat infringer" is a user who has been notified of infringing activity more than twice or has had content removed from the Services more than twice. We will assess whether a user is a repeat infringer on a case-by-case basis, taking into account all available information.
We may provide notices and other communications to you through the Services, via email to the email address associated with your account, or by postal mail to the address associated with your account. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
Notices to AICU GmbH must be sent to the contact information provided at the end of these Terms. Notices are deemed received: (a) when sent by email, on the date sent if sent during normal business hours, or on the next business day if sent outside normal business hours; (b) when sent by postal mail, upon receipt or refusal of delivery; (c) when posted on the Services, immediately upon posting.
It is your responsibility to keep your email address and contact information up to date in your account settings to ensure you receive all notices and communications from us.
Unless you opt out, you grant AICU GmbH the right to use your company or organization name and logo in our marketing materials, customer lists, presentations, and on our website for the purpose of identifying you as a customer. This includes the right to create case studies or testimonials about your use of our Services, subject to your prior written approval of the specific content.
If you wish to opt out of this publicity permission, please contact us at contact@aicuflow.com with the subject line "Opt Out of Publicity Rights". We will honor your request within 30 days.
From time to time, we may make available features, functionality, or services that are designated as "beta", "preview", "early access", "experimental", or similar designations (collectively, "Beta Features"). Beta Features are provided for testing and evaluation purposes only and are not considered part of the Services for purposes of any service level agreements or warranties.
BETA FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND. We may discontinue Beta Features at any time without notice. Beta Features may contain bugs, errors, or other issues that could cause system failures, data loss, or other problems. You use Beta Features at your own risk. We strongly recommend that you do not use Beta Features in production environments or with critical data.
By using Beta Features, you may be asked to provide feedback. Any feedback you provide may be used by AICU GmbH without any obligation to you.
Assignment. You may not assign or transfer any rights or obligations arising from these Terms. We may assign or transfer our rights or obligations arising from these Terms to an affiliate, subsidiary, or legal successor of a business related to our Services. If we do so, your rights as a consumer remain unaffected. If you are not satisfied, you have the right to terminate your relationship with AICU GmbH at any time and stop using our Services.
Changes to These Terms or Our Services. We continuously work on developing and improving our Services. We may update these Terms or our Services as necessary. For example, we may make changes to these Terms or the Services due to:
For changes that materially adversely affect you, we will inform you at least 30 days before they take effect via email or through an in-product notice. All changes apply only to the future course of our business relationship. If you do not agree with the changes, you must stop using our Services.
Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference into these Terms, constitute the sole and entire agreement between you and AICU GmbH regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services. Any additional or different terms or conditions in any purchase order, confirmation, or other document you provide will have no effect unless expressly agreed to in writing by an authorized representative of AICU GmbH.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be modified and interpreted to accomplish the objectives of the original provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. The invalidity or unenforceability of any provision of these Terms shall not affect the validity or enforceability of any other provision of these Terms, and each provision of these Terms shall be severable and enforceable independently of the others.
Waiver. No waiver by AICU GmbH of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of AICU GmbH to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver must be in writing and signed by an authorized representative of AICU GmbH to be effective. If we choose not to enforce any provision of these Terms at any time, this does not mean we waive our right to enforce it later.
Export Controls and Trade Compliance. You must comply with all applicable trade laws, including sanctions and export control laws. Our Services may not be used in or exported or re-exported to (a) any country or territory subject to a U.S. embargo, EU sanctions, or German trade restrictions, or (b) any natural or legal person with whom trade is prohibited or restricted under applicable trade laws. Our Services may not be used for end purposes prohibited under applicable trade law, and your Inputs may not contain materials or information that require a government license for release or export.
Applicable Law. These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of laws principles. If you are a consumer residing in the EEA or Switzerland, these Terms are also governed by the mandatory consumer protection laws of your country of residence.
Language. These Terms are provided in English and German. If there is any conflict or inconsistency between the English and German versions, the German version shall prevail.
